Partner Program Terms

These terms govern participation in the QuoteToMe Partner Program. They apply alongside any Partner Agreement signed by an approved partner. Where the Partner Agreement and these terms conflict, the Partner Agreement governs.
1. Eligibility and application
1.1 Who may apply. The Partner Program is open by application to accounting and bookkeeping firms, construction consulting firms, construction management firms, and other professional services firms and consultants with an established book of business in the construction industry, located in Canada or the USA.
1.2 Selective admission. Admission is at QuoteToMe's sole discretion. Applications are reviewed by QuoteToMe's CEO and CMO. QuoteToMe may decline any application without obligation to give detailed reasons, and may request additional information before deciding.
1.3 Verification. By applying, the applicant consents to QuoteToMe conducting a standard background check to verify that the firm is established and operating as described, including corporate registration, professional standing where applicable, and public business records.
1.4 Accuracy. The applicant represents that the information provided is accurate and that the individual applying is authorised to do so on behalf of the firm. Material inaccuracy is grounds for rejection or termination.
1.5 Not open to. QuoteToMe employees and contractors and their immediate households, government officials acting in an official capacity, and firms that cannot demonstrate an existing construction book of business.
2. Professional conduct: the partner's responsibility
2.1 No advice from QuoteToMe. QuoteToMe does not provide legal, tax or professional conduct advice. Nothing published by QuoteToMe, including any jurisdiction reference, disclosure template or guidance, is advice about a partner's obligations. Partners are solely responsible for determining what their professional body, regulator, licensing jurisdiction and firm policy permit.
2.2 Partner representation. By registering a referral, the partner represents that it has determined its own obligations in respect of that client, that its chosen path is permitted for that client, and that it has made any disclosures and obtained any consents its rules require.
2.3 Assurance and attest clients. The partner shall not select the compensation path in respect of any client for which the partner, or any firm in its network or under common control, provides audit, review, other assurance or attest services, an examination of prospective financial information, or a compilation that is expected to be relied on by a third party.
2.4 Change in relationship. If a referred client becomes a client of the type described in clause 2.3 at any time during the commission period, the partner shall notify QuoteToMe within five business days. On notification, the remaining commission for that client converts automatically to a client credit under clause 4, and no further amount is payable to the partner.
2.5 Engineering, architecture and project responsibility. Where the partner is professionally responsible for a project to which the software relates, and the partner's code restricts compensation from suppliers connected with that work, the partner shall select the client-benefit path.
2.6 Disclosure cooperation. QuoteToMe consents to the partner disclosing the existence, nature and amount or basis of the arrangement to its own client, and will provide such information as the partner reasonably requires for that purpose. No confidentiality obligation in these terms or the Partner Agreement restricts a disclosure the partner is required to make under its own professional rules.
3. Compensation path
3.1 Rate. QuoteToMe pays the partner 10 percent of subscription revenue actually received from a qualified referred client during the first 12 months of that client's paid subscription.
3.2 What is included. Subscription fees only. Onboarding fees, implementation fees, consulting fees, professional services fees, taxes, and any third party charges are excluded.
3.3 Expansion. Additional seats or subscription upgrades purchased by the client during the 12-month period are included in subscription revenue for the remainder of that period.
3.4 End of commission. Commission ends at the conclusion of the twelfth month of the client's paid subscription. No commission is payable from month 13 onward, and there is no renewal, residual or lifetime component.
3.5 Accrual and payment. Commission accrues as the client pays. QuoteToMe pays accrued commission quarterly, within 30 days of the end of each calendar quarter.
3.6 Currency and tax. Commission is paid in USD, inclusive of any applicable GST/HST. The partner is responsible for all taxes on amounts received. QuoteToMe will issue tax documentation where required by law.
3.7 Refunds and reversals. Where a client receives a refund, reverses a payment, or a payment is otherwise not collected, commission on that amount is not payable and any commission already paid may be offset against future payments.
3.8 Payment information. Payment requires the partner to provide banking and tax information. Amounts unclaimed 12 months after QuoteToMe requests that information are forfeited.
4. Client-benefit path
4.1 What it is. Where the partner selects the client-benefit path, QuoteToMe applies a discount to the referred client's subscription equal in value to the commission that would otherwise have been payable. No amount is paid, credited or otherwise made available to the partner.
4.2 QuoteToMe's own price term. The discount is a pricing term agreed between QuoteToMe and the client, recorded on the client's order form. It is not consideration owed to the partner and creates no entitlement of any kind in the partner.
4.3 No conversion or assignment. The partner may not convert the discount to cash or credit, assign it, direct it elsewhere, apply it to its own account, or receive any offsetting benefit in respect of it.
4.4 Independent of the partner relationship. The discount continues for its term regardless of whether the client remains a client of the partner.
4.5 Reporting. Partner statements record client-benefit referrals without any accrued or attributed value to the partner.
4.6 Client notice. The client's order form states that the pricing is QuoteToMe's own, that the referring firm receives no compensation in respect of the client, and that other products are available.
5. Path selection
5.1 Per client. The partner selects the path when registering each referral. Path selection is made per client and not per firm.
5.2 Locked at signature. The selected path is locked when the client signs and cannot be changed afterwards, except under clause 2.4.
5.3 Default. Where no path is selected, or where QuoteToMe has reasonable grounds to believe the compensation path may not be available to the partner for that client, QuoteToMe applies the client-benefit path.
6. Referral registration and deal protection
6.1 Registration required. A referral is recognised only when registered through QuoteToMe's partner referral form and confirmed in writing by QuoteToMe. Verbal mentions, including names raised on a call, are not registrations.
6.2 Exclusions. A referral does not qualify where the client is a current or former QuoteToMe customer, is already in an active sales, discovery, trial or onboarding process with QuoteToMe at the time of registration, or has already been registered by another partner or submitted through the referral program.
6.3 Confirmation. QuoteToMe will confirm or decline each registration within five business days and will give a general reason for any decline.
6.4 Protection period. A confirmed registration is protected for 90 days. Where an active sales opportunity is open at the end of that period, protection continues until that opportunity closes, to a maximum of 12 months from confirmation.
6.5 One partner per client. Only one partner may earn in respect of a given client. The first confirmed registration prevails.
6.6 No double participation. A partner may not claim a referral bonus under the separate QuoteToMe referral program in respect of any company, whether or not that company is registered under this program.
7. Implementation services
7.1 Permitted. Approved partners may provide implementation services to their own clients.
7.2 Billing. Implementation work is billed through QuoteToMe unless clause 7.3 applies.
7.3 Direct billing required. Where the partner provides audit, review, other assurance or attest services to the client, the partner shall bill that client directly for implementation work, and the client shall be responsible for paying the partner from its own funds.
7.4 Separate from commission. Implementation fees are not subscription revenue and are excluded from the commission calculation.
8. Partner benefits
8.1 What is provided. Approved partners receive co-selling support, co-branded material, a demonstration account, implementation rights under clause 7, and a partner directory listing when the directory becomes available.
8.2 Unconditional. These benefits are provided to all approved partners and are not conditional on referral volume or on the path selected. They are not compensation for any referral.
8.3 Demonstration account. The demonstration account is for demonstrating QuoteToMe to prospective clients and for the partner's own familiarity. It is not for production use in the partner's business or its clients' businesses.
9. Trademarks and marketing
9.1 Limited licence. QuoteToMe grants the partner a non-exclusive, non-transferable, revocable licence to use QuoteToMe's name and marks solely to identify itself as a QuoteToMe partner, in accordance with QuoteToMe's brand guidelines.
9.2 Approval. Co-branded material must be approved by QuoteToMe in writing before use.
9.3 No endorsement implied. Nothing in this program constitutes QuoteToMe's endorsement of the partner's professional services, and the partner shall not represent otherwise.
9.4 Prohibited practices. The partner shall not bid on QuoteToMe brand terms in paid search, send unsolicited bulk communications to generate referrals, or make claims about QuoteToMe that QuoteToMe has not published or approved.
10. Confidentiality and data
10.1 Mutual confidentiality. Each party shall keep the other's confidential information confidential, subject to clause 2.6.
10.2 Client data. The partner shall not share a client's or prospective client's personal information with QuoteToMe without that person's consent, and shall comply with applicable privacy law including PIPEDA, Alberta PIPA, Quebec Law 25 and applicable US state privacy laws.
10.3 Usage data. QuoteToMe will not share a client's usage data with the partner without the client's consent.
11. Relationship of the parties
11.1 Independent contractor. The partner is an independent contractor. Nothing creates a partnership, joint venture, agency, franchise or employment relationship.
11.2 No authority to bind. The partner has no authority to bind QuoteToMe, to make representations or warranties on its behalf, to quote prices or terms, or to accept orders.
11.3 Own costs. Each party bears its own costs of participation.
12. Term, termination and what survives
12.1 Term. Participation begins on written approval and continues until terminated.
12.2 Termination for convenience. Either party may terminate on 30 days written notice.
12.3 Termination for cause. QuoteToMe may terminate immediately for material breach, material inaccuracy in the application, breach of clause 2, conduct damaging to QuoteToMe's reputation, or loss of the partner's professional standing.
12.4 Accrued commission on termination. On termination for convenience by either party, commission continues to be paid for clients signed before the termination date, through the remainder of their original 12-month period.
12.5 Termination for cause. On termination for cause, QuoteToMe may withhold unpaid commission. Where the cause relates to a breach of clause 2, QuoteToMe may convert unpaid commission to a client credit.
12.6 Inactivity. QuoteToMe may move a partner to inactive status where no qualified referral has been registered in any 12-month period, on 30 days notice. Inactive status does not affect commission accrued on clients already signed.
12.7 Survival. Clause 2.6, clause 9.3, clause 10, clause 11, clause 12.4, clause 13 and clause 15 survive termination.
13. Statements and audit
13.1 Quarterly statement. QuoteToMe provides each partner with a quarterly statement showing referred clients, subscription revenue recognised, exclusions applied, the commission calculation, and client-benefit referrals recorded under clause 4.5.
13.2 Queries. A partner may query a statement within 60 days of receipt.
13.3 Annual review. Once per calendar year, a partner may request a written explanation of the calculation for its own accounts, which QuoteToMe will provide within 30 days.
14. Changes to the program
14.1 Notice. QuoteToMe may amend these terms or end the program on 30 days written notice to partners.
14.2 Protection of existing referrals. Referrals confirmed before a change takes effect remain subject to the terms in place at the time of confirmation, including the commission rate.
15. General
15.1 Governing law. These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in it.
15.2 Entire agreement. These terms together with the Partner Agreement constitute the entire agreement in respect of the Partner Program.
15.3 Assignment. The partner may not assign its rights under this program without QuoteToMe's written consent.
15.4 Severability. If any provision is held unenforceable, the remainder continues in effect.
